1. Agreement to Terms

These Terms and Conditions ("Terms") form a binding agreement between you ("Participant," "you," or "your") and Marla Bainbridge Business Solutions, LLC, an Alabama limited liability company ("MBBS," "we," "us," or "our"). By registering for, paying for, attending, or otherwise participating in the [WORKSHOP NAME] workshop (the "Workshop"), you confirm that you have read, understood, and agreed to these Terms in full.

If you do not agree to these Terms, do not register for or attend the Workshop. If you are registering on behalf of a business, organization, or another individual, you represent that you have authority to bind that party to these Terms.

2. Nature of the Workshop: Educational Purpose Only

The Workshop is provided strictly for general educational and informational purposes. The content covers concepts, frameworks, and examples related to Google Business Profile optimization, local search visibility, and related digital marketing topics.

The Workshop is NOT:

  • Professional consulting, legal, accounting, tax, financial, or investment advice

  • A marketing audit or done-for-you service for any participant's specific business

  • A guarantee, warranty, or promise of any specific outcome, ranking, traffic increase, lead volume, revenue, or business result

  • An endorsement by Google, Alphabet Inc., or any third-party platform or vendor referenced during the Workshop

Any application of Workshop content to your business is your sole decision and responsibility. You are encouraged to consult qualified professionals before making business decisions based on Workshop material.

3. No Guarantee of Results

MBBS makes no representation, warranty, or guarantee, express or implied, regarding the results you may experience from attending the Workshop or applying any of the methods, frameworks, examples, or information presented. Results vary based on numerous factors outside of MBBS's control, including but not limited to:

  • Your business model, industry, location, competition, and existing online presence

  • The time, effort, consistency, and resources you commit to implementation

  • Algorithm changes by Google, Meta, or other platforms

  • Policy changes by Google Business Profile or other third-party services

  • Market conditions, consumer behavior, and economic factors

  • The accuracy and completeness of information you provide to third-party platforms

Any examples, case studies, screenshots, or testimonials shared during the Workshop describe results experienced by specific businesses under specific conditions and should not be interpreted as typical or expected outcomes. Past results do not predict future results.

You acknowledge that your participation in the Workshop carries no promise of search ranking improvement, increased calls, increased website traffic, increased leads, increased revenue, or any other measurable business outcome.

4. Not Professional Advice

Nothing presented during the Workshop, in Workshop materials, in supporting communications, or in any related content constitutes legal, accounting, tax, financial, investment, medical, or other licensed professional advice. The Workshop instructor is not acting as your attorney, accountant, financial advisor, or fiduciary.

Before acting on any information from the Workshop, you should consult a qualified professional licensed in the relevant jurisdiction. You assume full responsibility for your business decisions and any consequences of those decisions.

5. Registration and Payment

Registration is confirmed only upon receipt of full payment in the amount of $[FEE AMOUNT] (the "Workshop Fee"). Seats are limited and assigned on a first-paid basis. Unpaid registrations may be released without notice.

All fees are quoted and payable in U.S. dollars. You are responsible for any applicable taxes, transaction fees, or currency conversion costs. Payments are processed through third-party providers, and their terms apply to the payment transaction itself.

6. Cancellation, Refunds, and Rescheduling

6.1 Cancellation by Participant

Workshop Fees are non-refundable except as expressly stated in this Section. If you cancel your registration in writing at least [REFUND WINDOW, e.g., 7] days before the Workshop start date, you will receive [a full refund / a refund minus a $[X] processing fee / a credit toward a future workshop]. Cancellations received fewer than [REFUND WINDOW] days before the Workshop start date are non-refundable.

Failure to attend the Workshop, late arrival, or early departure does not entitle you to a refund.

6.2 Substitutions

You may transfer your registration to another individual at no cost by notifying MBBS in writing at least [24 / 48] hours before the Workshop. The substitute attendee must agree to these Terms before attending.

6.3 Cancellation or Rescheduling by MBBS

MBBS reserves the right to cancel, postpone, reschedule, relocate, or convert the Workshop to a virtual format for any reason, including insufficient enrollment, instructor illness, venue unavailability, severe weather, or events beyond our reasonable control. If MBBS cancels the Workshop outright and does not offer a reasonable alternative, registered participants will receive a full refund of the Workshop Fee. MBBS is not responsible for any other costs you incur, including travel, lodging, meals, lost wages, or related expenses.

7. Third-Party Platforms, Tools, and Services

The Workshop references and demonstrates third-party platforms, software, and services, including but not limited to Google Business Profile, Google Search, Google Maps, AI tools such as Claude and ChatGPT, customer relationship management systems, and citation directories (collectively, "Third-Party Services"). MBBS does not own, control, operate, endorse, or warrant any Third-Party Service.

Your use of any Third-Party Service is governed by that provider's own terms of service, privacy policy, and acceptable use policy. You are solely responsible for reviewing, accepting, and complying with those terms. MBBS is not responsible for:

  • Changes to features, pricing, availability, or policies of any Third-Party Service

  • Suspension, termination, or restriction of your accounts by any Third-Party Service

  • Loss of data, content, rankings, or visibility resulting from your use of any Third-Party Service

  • Outputs generated by AI tools, which may contain inaccuracies and should be reviewed and verified before publication

References to specific tools, products, or platforms during the Workshop are for instructional purposes only and do not constitute an endorsement or recommendation that you adopt them in your business.

8. AI-Generated Content

The Workshop demonstrates the use of AI tools to assist with marketing tasks. AI outputs can contain factual errors, outdated information, hallucinated citations, and content that may not reflect current Google or other platform policies. You are responsible for reviewing, fact-checking, editing, and approving all AI-generated content before publishing it to any platform or using it in connection with your business. MBBS disclaims any liability for harm arising from your use of AI-generated content, including but not limited to penalties, account actions, reputational harm, or inaccurate public statements.

9. Intellectual Property

All Workshop content, including slides, workbooks, scripts, prompts, frameworks, recordings, written materials, branding, and any related digital assets (collectively, the "Workshop Materials"), is owned by MBBS or licensed to MBBS and is protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Workshop Materials solely for your own internal business and educational purposes.

You may not:

  • Copy, reproduce, republish, distribute, sell, license, sublicense, or otherwise commercially exploit the Workshop Materials

  • Record, transcribe, photograph, or screen-capture any portion of the Workshop without the prior written consent of MBBS

  • Use the Workshop Materials to create a competing course, workshop, training, or coaching program

  • Remove or alter any copyright, trademark, or proprietary notice on the Workshop Materials

  • Share login credentials, downloads, or access links with non-registered individuals

Third-party trademarks, logos, and brand names shown during the Workshop are the property of their respective owners and are used for identification and educational purposes only.

10. Recording, Photography, and Use of Likeness

MBBS may record, photograph, or live-stream Workshop sessions for educational, marketing, training, or archival purposes. By attending the Workshop, you grant MBBS a perpetual, worldwide, royalty-free, irrevocable license to use, reproduce, edit, distribute, and display any audio, video, photographs, or quotes captured during your participation, including your name, voice, image, likeness, and any questions or comments you contribute.

If you do not wish to be recorded or photographed, you must notify MBBS in writing before the Workshop begins and position yourself accordingly during the session. MBBS will make reasonable efforts to honor such requests but cannot guarantee complete exclusion from incidental capture in group shots, room footage, or background audio.

11. Participant Conduct

You agree to conduct yourself professionally and respectfully during the Workshop. MBBS reserves the right to remove any participant, without refund, who engages in disruptive, harassing, threatening, discriminatory, illegal, or otherwise inappropriate behavior, who attempts to record without permission, or who violates these Terms.

You agree not to use the Workshop as a venue to solicit other participants for products, services, or business opportunities without the prior written consent of MBBS.

12. Assumption of Risk

You acknowledge that any decision to act on information presented in the Workshop is voluntary and made at your own risk. You assume full responsibility for the financial, operational, legal, and reputational consequences of any actions you take or do not take based on Workshop content. This includes any changes you make to your Google Business Profile, website, marketing systems, or business operations.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(a) The Workshop and all Workshop Materials are provided "AS IS" and "AS AVAILABLE," without warranty of any kind, whether express, implied, statutory, or otherwise. MBBS expressly disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, and quiet enjoyment.

(b) In no event shall MBBS, its owner, members, employees, contractors, agents, affiliates, or licensors be liable to you or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, lost business opportunities, lost data, loss of goodwill, business interruption, costs of substitute services, or any damages arising out of or related to the Workshop, the Workshop Materials, or your use of or reliance on either, regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if MBBS has been advised of the possibility of such damages.

(c) MBBS's total cumulative liability to you for any and all claims arising out of or related to the Workshop, the Workshop Materials, or these Terms is limited to the amount you actually paid to MBBS for the Workshop in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.

(d) Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. To the extent applicable law prohibits any limitation in this Section, that limitation will be applied to the maximum extent permitted by law, and the remaining limitations will continue in full force.

14. Indemnification

You agree to indemnify, defend, and hold harmless MBBS, its owner, members, employees, contractors, agents, affiliates, and licensors from and against any and all claims, demands, actions, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your misuse of the Workshop Materials; (c) your application of Workshop content to your business; (d) your violation of any third-party right, including intellectual property or privacy rights; (e) any content you create or publish based on Workshop material; or (f) your violation of any applicable law or regulation.

15. Privacy and Data

MBBS collects and processes personal information you provide during registration and participation in accordance with our Privacy Policy, available at [PRIVACY POLICY URL]. By registering, you consent to that processing. MBBS may contact you with Workshop-related communications and, if you have opted in, with marketing communications from which you may unsubscribe at any time.

16. Force Majeure

MBBS is not liable for any delay, failure, or interruption of the Workshop caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, severe weather, fire, flood, epidemic, pandemic, government action, civil disturbance, terrorism, war, labor disputes, utility outages, internet or telecommunications failures, or venue closures.

17. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in [COUNTY] County, Alabama for any dispute not subject to arbitration under Section 18.

18. Dispute Resolution

18.1 Informal Resolution

Before initiating any formal dispute, you agree to first contact MBBS in writing at [CONTACT EMAIL] and attempt to resolve the matter informally for a period of at least thirty (30) days.

18.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or related to the Workshop, the Workshop Materials, or these Terms shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in [CITY], Alabama, or by video conference if agreed by both parties. Judgment on the award may be entered in any court of competent jurisdiction.

18.3 Class Action Waiver

YOU AND MBBS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Unless both parties agree in writing, the arbitrator may not consolidate or join the claims of more than one person and may not preside over any form of representative or class proceeding.

18.4 Exceptions

Either party may seek injunctive or other equitable relief in court to protect intellectual property rights. Small claims court actions within applicable jurisdictional limits are also exempt from the arbitration requirement.

19. Modifications to Terms

MBBS may update these Terms at any time. The Effective Date at the top of this document reflects the most recent version. For registered participants, the Terms in effect at the time of registration apply to that specific Workshop unless you are notified of a material change before the Workshop date. Continued participation after notice of a change constitutes acceptance of the updated Terms.

20. General Provisions

20.1 Entire Agreement

These Terms, together with any registration page disclosures and the MBBS Privacy Policy, constitute the entire agreement between you and MBBS regarding the Workshop and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

20.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

20.3 No Waiver

Failure by MBBS to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of MBBS.

20.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of MBBS. MBBS may assign these Terms freely.

20.5 Survival

All provisions that by their nature should survive termination shall survive, including Sections 9 (Intellectual Property), 13 (Limitation of Liability), 14 (Indemnification), 17 (Governing Law), and 18 (Dispute Resolution).

20.6 Headings

Section headings are for convenience only and do not affect interpretation of these Terms.

  • I have read and understand these Terms and Conditions in full.

  • I understand that the Workshop is educational only and that MBBS makes no guarantee of business results, search rankings, leads, or revenue.

  • I understand that the Workshop does not constitute legal, accounting, financial, or other professional advice.

  • I agree to the limitation of liability, indemnification, governing law, and binding arbitration provisions stated above.

  • I am at least 18 years old, or I am participating with the consent and supervision of a parent or legal guardian who has accepted these Terms on my behalf.
